Role: Senior Counsel, Corporate & Securities

Our client, a global e-commerce company, is seeking a Senior Counsel, Corporate & Securities who is an exceptional legal strategist and proactive business partner in Chicago, IL . This is a high-impact, high-visibility role for a leader who can not only manage public company obligations but also drive efficiency and innovation in legal operations. You will be a key advisor to senior leadership and the Board of Directors, ensuring corporate governance and transactions are executed with precision, speed, and strategic insight.

The ideal candidate will have 4+ years of experience in securities and capital markets experience (in-house or at a law firm), proven ability to independently manage complex filings and transactions, and strong organizational skills with the ability to handle multiple priorities under tight deadlines. Key Responsibilities:

• Oversee Section 16 filings and related reporting obligations.
• Prepare and manage board and committee meeting materials in partnership with senior leadership.
• Own the legal portions of all SEC filings and ensure ongoing compliance with SEC and exchange requirements.
• Drive M&A, divestitures, strategic investments, corporate financings, and other complex corporate transactions from term sheet through closing.
• Negotiate and draft transaction agreements, disclosure documents, and corporate governance materials.
• Partner with Communications, Investor Relations, Accounting, Treasury, and Tax on cross-functional initiatives.
